How it works in Singapore

Most Singapore private M&A follows the same path: teaser, NDA, information memorandum, indicative bids, then a data room for the shortlisted bidders, followed by confirmatory diligence and the share purchase agreement. A family-owned distributor in Ubi and a regional technology group headquartered at One-North go through the same steps. The room is usually live for three to five months.

The seller side is the CFO, the company secretary, outside counsel and the financial adviser, with a few managers answering questions. Buyers bring corporate development staff, lawyers, accountants doing financial due diligence, tax advisers, and often warranty and indemnity insurers. Private equity buyers add their lenders. Each group needs a different slice of the records.

Singapore deals have their own checklist items: ACRA records and the register of registrable controllers, CPF and payroll records, IRAS tax filings including GST, stamp duty at 0.2% on the share transfer, and, for larger mergers, a view on whether to notify the CCCS. Regional targets add subsidiaries in Malaysia, Indonesia, Vietnam or Thailand with records in other languages.

Singapore rules that apply

PDPA business asset transaction exception

Personal data about employees and customers can be shared with a prospective buyer without consent if it relates directly to the business and is used only to evaluate the deal. Anonymise first-round data and mask NRIC numbers.

CCCS merger control

Notification is voluntary, but mergers that substantially lessen competition are prohibited. The CCCS guides flag a merged share of 40%, or 20 to 40% where the top three hold 70%.

Stamp duty on shares

Share transfers attract 0.2% stamp duty on the higher of price or market value, payable within 14 days of signing in Singapore.

Companies Act and ACRA

Buyers check the register of members, controllers and directors against ACRA filings. Fix unlodged allotments and missing resolutions before launch.

How to set it up

  1. Agree the indexHave counsel and the financial adviser approve a numbered folder index before uploading. Map it to the warranties in the draft SPA so the disclosure letter is easier to prepare.
  2. Clean the recordsReconcile ACRA registers, ratify missing resolutions, remove drafts and duplicates. Mask NRIC numbers and salaries in HR files.
  3. Set permission groupsOne group per bidder and per adviser type. Keep competitively sensitive data for a clean team if a bidder is a competitor.
  4. Open the room and run Q&AInvite bidders together with the process letter. Assign answerers, set response times and publish common answers to all.
  5. Track and updateRead the activity reports each week. Add new monthly accounts and note every upload in a change log.
  6. Archive at completionExport the room and Q&A log for both sides. It is the record of what was disclosed if a warranty claim arises.

Mistakes to avoid

  • Uploading payslips and CPF statements with NRIC numbers and home addresses visible.
  • Leaving regional subsidiaries' records until a buyer asks, then translating under time pressure.
  • Answering buyer questions by email so the disclosure record sits outside the room.
  • Giving a competitor bidder the same access as financial buyers.

Questions people ask

How long does a Singapore M&A data room stay open?

For a mid-market sale, three to five months from the first bidder invitation to completion. Add time if a CCCS notification or foreign approvals are needed. Many sellers keep it open briefly after completion so the buyer can download records, then archive it.

Can I include employee data?

Yes, under the PDPA business asset transaction exception, if the data relates directly to the business and the buyer uses it only to evaluate the deal. Share anonymised data first and named records only with the preferred bidder, with NRIC numbers masked.

What is different about cross-border deals from Singapore?

Regional groups need records for each subsidiary, often in Bahasa, Thai or Vietnamese, and local counsel in each country. Organise one folder set per entity and add translations next to originals.
