GST on data room fees

Singapore GST is 9%. Overseas vendors charge it under the Overseas Vendor Registration regime to customers that are not GST-registered. GST-registered businesses usually give their GST number and are not charged; banks, insurers and other partly exempt businesses then account for GST under reverse charge. More on GST and software.

Three Singapore examples

Seed round, 3 months

Founder plus CFO, a lead investor and two funds. Flat-priced room.

S$191 x 3 = S$573, or S$625 with GST if the startup is not GST-registered.

Mid-market sale, 4 months

Eight users on the sell side, five bidders. Quote-based enterprise room.

Market band S$2,300 to S$6,800 a month: S$9,200 to S$27,200 before GST.

Catalist listing, 6 months

Sponsor, two law firms, reporting accountants and valuers.

Market band S$4,500 to S$12,500 a month: S$27,000 to S$75,000 before GST.

What drives the cost

  • Length of the deal. Most rooms charge by the month; a sale that slips from four to seven months costs almost twice as much.
  • Users and guests. Per-user plans grow with every adviser and bidder.
  • Data volume. Volume-based quotes rise with scanned paper records.
  • Features. Redaction, SSO and AI features may sit on higher plans.
  • Support. Dedicated project managers and 24-hour support are often extra.

Hidden costs

  • Extension fees when a deal runs past the agreed term.
  • Overage charges for pages or gigabytes above the quote.
  • Archive fees for an encrypted copy at closing.
  • Currency margins on USD billing, often 1% to 3%.
  • GST you cannot recover if your business is partly exempt.

How to set a budget

  1. Estimate the deal length and add two months of buffer.
  2. Count users on your side and decide whether guests are free.
  3. Size the room with the size estimator.
  4. Get two published prices and one quote for comparison.
  5. Add GST and a currency margin.

How to save

  • Start on a free trial while you build the index.
  • Prefer flat pricing when many outside parties need access.
  • Remove drafts and duplicates before upload to cut volume.
  • Close the room promptly after completion and export the archive.

Monthly or annual?

For a single deal, monthly billing usually wins because you stop paying when the deal closes. Annual plans make sense for advisers, funds and family offices running several projects a year, or for a board room that stays open.

Questions people ask

How much does a virtual data room cost in Singapore?

Published plans range from about S$19 a month for basic file sharing to a few hundred dollars a month for deal rooms with Q&A, before 9% GST. Quote-based enterprise rooms for a mid-market sale often run S$2,300 to S$6,800 a month.

Do data room prices include GST?

Prices on this site are before GST. Overseas vendors charge 9% GST to customers that are not GST-registered; registered businesses usually buy without GST and may need to apply reverse charge if partly exempt.

Is per-page pricing still used?

Some enterprise vendors still quote on pages or data volume, especially for large archives. Most modern rooms price per month, per user or per project.

What does a free trial usually cover?

A working room for a limited period, often 7 to 14 days, so you can build the index and invite test users. Ellty offers a 14-day free trial.

Can I pay monthly instead of annually?

Many published-price vendors allow monthly billing, which suits a single deal. Annual plans cost less per month if you run several projects.
