Data room for buy-side due diligence in Singapore

Short answerOn the buy side, the data room is where you test the seller's story. Work from a request list, use the Q&A workflow for every question, track what each adviser has reviewed and keep findings tied to the documents behind them.

How it works in Singapore

Buyers in Singapore range from regional strategics and multinational corporates to private equity funds and family offices. The buyer's team works across financial, tax, legal, commercial and sometimes technical and ESG workstreams, each led by a different adviser.

The seller controls the room, but buyers control their own process. A good buy-side team agrees early with the seller how requests and questions will be handled, and keeps its internal notes outside the seller's room.

Typical Singapore checks include ACRA records against the company's own registers, IRAS assessments and GST filings, CPF compliance, work pass holders, leases on JTC or private industrial property, and licences from regulators such as MAS, SFA or HSA depending on the business.

Questions people ask

Who controls the data room in a sale?

The seller, usually through its adviser. Buyers request documents and ask questions through the Q&A workflow.

Can a buyer use AI to review the room?

Some data rooms include AI features for search and summaries. Check the NDA and the seller's rules before using outside AI tools on confidential documents.

How should buy-side findings be organised?

By workstream, with each finding linked to the document and Q&A answer it relies on, so the lawyers can turn them into warranties or price adjustments.
