Data room for a management buyout
How it works in Singapore
MBOs in Singapore often involve a founder or family selling to the managers who run the business, backed by a private equity fund, a bank loan or vendor financing. The management team is on both sides: it runs the company and wants to buy it.
The seller usually appoints an independent committee or adviser to run the process. Lenders and the private equity backer carry out due diligence just as in any acquisition.
Financing documents, security packages and the shareholders' agreement between management and the investor all need their own controlled folders.
